Supplier Terms & Conditions

1. General Requirements
By accepting this Purchase Order (PO), the Supplier agrees to comply with all applicable terms outlined herein. These requirements are in accordance with AS9100:2016 and form part of Indy Aerospace’s Quality Management System.

2. Product and Technical Specifications
- All products/services must conform to the specifications, drawings, standards, and descriptions identified in this PO.
- Part numbers, revisions, type, class, and other identifiers must be clearly stated on all packaging and documentation.

3. Quality System Requirements
- The Supplier shall maintain a Quality Management System compliant with ISO 9001, AS9100, or equivalent (as applicable).
- Supplier must ensure employees are trained in quality, product safety, and ethical conduct.

4. Special Characteristics and Key Requirements
- Products with special characteristics, critical items, or key features must be clearly identified and managed in accordance with contract and PO requirements.
- First Article Inspection (FAI) and/or additional verification may be required.

5. Test, Inspection, and Verification
- Supplier shall perform necessary inspections and retain records demonstrating conformance.
- Indy Aerospace reserves the right to inspect goods/services at the supplier’s facility.
- Test specimens may be requested for inspection, design approval, or investigation.

6. Counterfeit Part Prevention
- Supplier must only procure products and materials from Original Component Manufacturers (OCMs), OEMs, or authorized distributors.
- Full traceability to the source must be maintained and made available upon request. Any suspect parts or counterfeit parts must be reported to Indy Aerospace within 48 hours.

7. Supplier Changes and Notification
- Supplier must notify Indy Aerospace in writing and obtain approval before making any changes to:
  - Product or process
  - Manufacturing location
  - Sub-tier suppliers or sources

8. Nonconforming Product
- Supplier shall notify Indy Aerospace within 24 hours of identifying a nonconformance and obtain approval for any disposition.
- Suspect or confirmed counterfeit parts must be segregated and not returned.

9. Flow Down of Requirements
- All applicable requirements (technical, regulatory, and quality) must be flowed down to sub-tier suppliers.

10. Right of Access
Indy Aerospace, its customers, and applicable regulatory authorities shall have access to:
- Supplier facilities
- Relevant records and materials related to this PO

11. Records and Retention
- Supplier must retain all relevant records (e.g., inspection reports, test data, C of C) for a minimum of 5 years, unless otherwise specified.
- Records must be made available upon request and disposed of securely at the end of their retention period.

12. Delivery and Performance
- Supplier is responsible for meeting agreed delivery dates and quality standards.
- Repeated delays or rejections may result in corrective action or removal from Indy Aerospace’s Approved Supplier List.

13. Ethical Behavior and Awareness
- Supplier employees shall be made aware of their contribution to product/service conformity and safety.
- Ethical behavior is expected in all dealings, including zero tolerance for falsification or misrepresentation.
